1. About Centralee
Centralee is a software-as-a-service platform for freelancers and independent businesses. It provides tools for client relationship management, leads, proposals, contracts, projects, meetings, invoices, payments records, reporting, and related business administration.
In these Terms, “Centralee”, “we”, “us”, and “our” refer to the operator of the Centralee service. “You” and “your” refer to the person or business using the service.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding agreement. If you use Centralee for an organisation, you confirm that you have authority to accept these Terms on its behalf.
3. Accounts and security
You must provide accurate account information, keep your login credentials secure, and promptly notify us if you suspect unauthorised access. You are responsible for activity performed through your account unless caused by a failure of our systems.
You may not share access beyond the collaborator allowance of your plan, impersonate another person, or create accounts using misleading information.
4. The service
Features and limits depend on the selected plan. Current plan descriptions and prices are published on our Pricing page. We may improve, replace, or discontinue features where reasonably necessary, including for security, legal, provider, or product reasons.
Centralee is an administrative software platform. It does not provide legal, tax, accounting, financial, or other professional advice. Templates and generated documents must be reviewed by you before use.
5. Subscriptions, billing, and taxes
Paid subscriptions are billed in advance on a monthly or annual basis and automatically renew at the end of each billing period unless cancelled before the next renewal is processed. You authorise our payment provider to charge the applicable recurring amount and taxes using your selected payment method.
Prices, billing intervals, included usage, and taxes are shown before checkout. We may change prices for a future billing period after giving reasonable notice. A price change does not alter an already-paid period.
6. Cancellation
You may cancel a recurring subscription from the billing section of your account. Cancellation prevents the next renewal charge and takes effect at the end of the billing period already paid for.
For example, if your renewal date is the 17th and you cancel on the 16th before renewal is processed, you will not be charged on the 17th. If renewal is processed on the 17th and you cancel on the 19th, the completed charge is not refunded and paid features remain available until the end of that new paid period, normally the 17th of the following month for a monthly plan.

7. No-refund policy
Except where a refund is required by applicable law, all subscription, annual, add-on, and other payments are final and non-refundable. We do not provide full or partial refunds or credits for unused time, plan downgrades, account inactivity, accidental renewal, or cancellation after a renewal has been processed.
8. Your content and client data
You retain ownership of the information and content you submit to Centralee. You grant us a limited right to host, copy, transmit, process, and display that content only as needed to operate, secure, support, and improve the service.
You are responsible for having a lawful basis and any necessary permissions to upload or process personal information belonging to clients, prospects, signers, collaborators, or other third parties. You are also responsible for the accuracy and legality of documents, invoices, contracts, messages, and payment instructions you create.
9. Acceptable use
You must not use Centralee to break the law; infringe intellectual property or privacy rights; send spam or deceptive communications; distribute malware; attempt unauthorised access; interfere with service operation; scrape or reverse engineer protected parts of the service; process prohibited, fraudulent, or abusive transactions; or misuse public links and signatures.
We may restrict or suspend access where reasonably necessary to investigate abuse, protect users, comply with law, or prevent harm.
10. Third-party services
Centralee relies on third-party services for hosting, authentication, email, file delivery, calendars, and payments. Your use of optional integrations may also be subject to the provider’s terms. We are not responsible for third-party services outside our reasonable control, but we will take reasonable steps to manage integrations securely.
11. Intellectual property
Centralee and its software, branding, designs, documentation, and original content are owned by or licensed to us. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your permitted access period. They do not transfer ownership of Centralee intellectual property to you.
12. Availability and disclaimers
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. To the maximum extent permitted by law, the service is provided on an “as available” basis without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
You are responsible for maintaining appropriate copies of critical business records and reviewing outputs before relying on them.
13. Liability
To the maximum extent permitted by applicable law, Centralee will not be liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profit, revenue, goodwill, data, or business opportunity. Our aggregate liability arising from the service will not exceed the amount you paid to Centralee during the six months immediately before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
14. Termination
You may stop using the service at any time. We may suspend or terminate access for a material breach, fraud, security risk, unlawful use, non-payment, or where required by law. Where reasonably possible, we will provide notice and an opportunity to correct the issue.
Sections that by their nature should continue, including payment obligations, intellectual property, disclaimers, liability limits, and dispute provisions, survive termination.
15. Governing law and changes
These Terms are governed by the laws of India. Disputes are subject to the jurisdiction of competent courts in India, unless applicable consumer law requires otherwise.
We may update these Terms to reflect changes in the service, law, or business operations. Material changes will be communicated through the service, website, or account email. Continued use after the effective date constitutes acceptance of the updated Terms.

The following schedule explains the allocation of responsibility for significant parts of the service. It supplements, and does not narrow, the other provisions of these Terms.

Service interference. You must not use or attempt to use Centralee to overload, flood, disrupt, disable, degrade, or impose an unreasonable burden on the service or its providers. You must not use or attempt to use Centralee to collect, expose, sell, monitor, or otherwise process personal information without a lawful purpose and any required notice or permission. Spam. You must not use or attempt to use Centralee to send bulk, repetitive, unsolicited, misleading, or unlawful email, invitations, public links, or other communications. Harassment. You must not use or attempt to use Centralee to threaten, intimidate, defame, discriminate against, exploit, or target a person with abusive or harmful content. Dangerous content. You must not use or attempt to use Centralee to publish or transmit content that meaningfully enables violence, exploitation, trafficking, or serious physical harm. Payment abuse. You must not use or attempt to use Centralee to launder money, test stolen instruments, manipulate transaction records, evade provider rules, or misstate whether payment occurred. Signature abuse. You must not use or attempt to use Centralee to request or apply a signature without authority, impersonate a signer, alter completed records deceptively, or falsely describe legal effect. Public-link abuse. You must not use or attempt to use Centralee to use recipient pages for phishing, credential collection, malware delivery, impersonation, or publication to unintended audiences. Account resale. You must not use or attempt to use Centralee to sell, rent, sublicense, or transfer account access except through a permitted business transfer or with our written agreement. False affiliation. You must not use or attempt to use Centralee to suggest sponsorship, endorsement, employment, partnership, or association with Centralee or another person when none exists. High-risk reliance. You must not use or attempt to use Centralee to use the service as the sole control for emergency response, life safety, critical infrastructure, or another activity where failure could cause serious harm. Third-party violations. You must not use or attempt to use Centralee to cause Centralee, a provider, a recipient, or another user to breach law, contract, court order, professional duty, or binding platform rule. 18. Orders, renewal, and payment administration
An order is an offer to purchase the plan shown at checkout. Access is confirmed only after the payment provider reports a successful transaction and our systems accept that result. A bank authorisation, pending debit, screenshot, or unverified message does not by itself establish payment. We may correct an entitlement when a payment is reversed, disputed, duplicated, fraudulent, refunded because law requires it, or never settled to us.
Recurring billing is an instruction to seek payment at each renewal until cancellation takes effect. Processing time is controlled partly by banks and payment networks. You should cancel before the renewal date, not during or after processing, if you do not want another period. Removing an application, stopping use, allowing a card to expire, or asking a bank to reject payment is not a valid account cancellation.
You are responsible for applicable taxes, duties, levies, and government charges unless the checkout expressly states that they are included. You must provide accurate billing information and any valid tax registration details before the relevant document is issued. We may issue invoices, receipts, credit documentation required by law, and provider records electronically.
If payment fails, we may retry it where the provider and applicable rules permit, request a different payment method, or limit paid features. We do not promise a grace period. You remain responsible for amounts properly incurred before access changes. A payment dispute should first be raised with support so records can be investigated promptly.
19. Confidentiality and customer administration
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only for the relationship, protect it with reasonable care, and disclose it only to people who need it and are bound to protect it. This obligation does not cover information independently developed, lawfully received without restriction, publicly available without breach, or required to be disclosed by law.
You act as administrator for your workspace and determine who receives access, what they may see, and which public links are issued. Actions by an invited member, connected account, or person using valid credentials are treated as workspace activity. You must maintain an appropriate offboarding process and review recipient access whenever a commercial engagement or working relationship changes.
If disclosure is legally compelled, the receiving party may disclose the required portion and, when law permits, provide notice so protective steps can be considered. Confidentiality obligations survive for as long as the information remains confidential. Trade secrets receive protection for as long as applicable law recognises them as trade secrets.
20. Support, maintenance, and service changes
Support is supplied through the channels and service levels we publish. Unless a separate written agreement states otherwise, no guaranteed response or resolution time applies. We may request reasonable diagnostic information and may be unable to resolve an issue when access, reproduction steps, provider cooperation, or accurate context is unavailable.
We may install updates, perform maintenance, change infrastructure, or temporarily restrict a feature to preserve security and reliability. Planned work will be scheduled and communicated where reasonably practicable. Urgent work may occur without advance notice. Internet, browser, device, identity, banking, email, and other provider failures can affect availability outside our direct control.
We may change a feature where the change does not materially defeat the overall service purchased for the current period, or where security, law, provider requirements, abuse, or technical necessity requires it. If a paid service is permanently discontinued, we will address remaining access in a commercially reasonable manner subject to applicable law.
21. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Centralee and its personnel from third-party claims, losses, liabilities, penalties, and reasonable costs arising from your content, your client or recipient relationships, your breach of these Terms, your violation of law or another person's rights, or your misuse of the service. This obligation does not apply to the extent a claim was caused by Centralee's own breach or unlawful conduct.
We will provide reasonable notice of a covered claim and allow you to control the defence and settlement, provided that no settlement admits fault by, imposes an obligation on, or restricts Centralee without our written consent. We may participate with counsel at our own cost. Failure to give prompt notice reduces the obligation only to the extent the delay causes material prejudice.
22. General corporate provisions
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, civil disorder, labour disruption, government action, internet or utility failure, cyberattack by a third party, or widespread provider outage. This does not excuse payment already due, and the affected party must take reasonable steps to reduce the impact.
You may not assign or transfer these Terms or an account without our written consent, except as part of a bona fide sale of substantially all relevant business assets if the recipient accepts these Terms and is legally eligible. We may assign these Terms in connection with a reorganisation, financing, merger, acquisition, or transfer of the service.
If any provision is held unenforceable, it will be limited to the minimum necessary and the remainder will continue. A delay in enforcement is not a waiver. Headings aid reading but do not control interpretation. The words including and such as introduce examples and do not limit broader language.
These Terms, the Privacy Policy, the Cancellation and Refunds Policy, the Shipping Policy, the order shown at checkout, and any expressly incorporated written addendum form the entire agreement about the service and replace earlier proposals or statements on that subject. A conflicting separately signed agreement controls only to the extent it expressly identifies the conflict.
Notices to you may be delivered to the account email, displayed in the service, or posted on an applicable policy page. Legal notices to Centralee must be sent to hello@centralee.com with sufficient detail to identify the sender, account, issue, and requested action. Electronic communications and records may satisfy writing requirements where applicable law permits.
